Swiggy has become a majority Indian-owned company after domestic shareholding crossed the 50% mark. According to the company’s latest regulatory filing, domestic investors now hold 50.24% of its fully diluted equity, while aggregate foreign investment has declined to 49.76%.

The development marks a significant milestone in Swiggy’s ownership structure and is expected to strengthen its long-term strategic flexibility.

Closer To Indian-Owned And Controlled Company Status

Crossing the 50% domestic ownership threshold moves Swiggy closer to qualifying as an Indian-Owned and Controlled Company (IOCC). Such a classification could provide greater operational flexibility for its quick commerce business, Instamart, particularly under India’s foreign investment regulations.

However, the company clarified that becoming majority Indian-owned does not automatically grant it IOCC status, as additional regulatory and governance requirements still need to be met.

No Immediate Operational Changes

Swiggy stated that the revised shareholding pattern does not alter the company’s ownership or control status at present. It also does not affect management, voting rights, business operations or shareholder rights.

The company emphasised that the change is limited to the composition of its shareholding and should not be interpreted as an immediate structural or operational transition.
