Instacart, one of the leading grocery delivery platforms in the United States, is exploring a potential sale after holding preliminary discussions with major industry players, including DoorDash and Uber. Reports of a possible takeover sent Instacart shares soaring by more than 9% on October 23, 2026, as investors reacted to the possibility of a major deal in the online grocery delivery market.

The company is reportedly working with an investment bank to evaluate its strategic options. However, discussions remain preliminary, and there is no guarantee that a transaction will take place.

Instacart Explores Strategic Options

According to reports, Instacart has held preliminary acquisition discussions with DoorDash as part of a potential sale process. Bloomberg separately reported that Instacart had approached Uber, but the ride-hailing company has since walked away from those discussions.

Talks with other potential buyers may continue, although no definitive agreement has been announced. Instacart and the potential buyers had not publicly confirmed a transaction.

The company is valued at roughly $12 billion based on its market value before the latest reports. A conventional acquisition premium of 30% to 40% could imply a potential deal worth approximately $16 billion to $17 billion, although this is an estimate rather than an actual offer.

Why Instacart Might Consider a Sale

Instacart operates a marketplace connecting consumers with grocery retailers and delivery services. It has also expanded into digital advertising and retail technology, providing additional revenue opportunities beyond delivery fees.

However, competition has intensified as DoorDash and Uber expand their grocery delivery businesses. Amazon is also investing in grocery delivery through its broader retail ecosystem and Whole Foods operations.

Instacart’s revenue growth slowed to 11% in both 2024 and 2025, compared with 19% in 2023. By contrast, DoorDash reported revenue growth of 28% in 2025.

A sale to a larger competitor could provide Instacart with additional scale, resources and access to a broader customer base. It could also allow shareholders to realise value as competition in the sector increases.

Why Uber and DoorDash Could Be Interested

DoorDash could strengthen its grocery delivery operations by acquiring Instacart’s retailer relationships, marketplace infrastructure and established customer base.

Uber also has commercial links with Instacart. Its Uber Eats service has been integrated into Instacart’s platform for restaurant delivery, while Instacart’s advertising technology has supported sponsored grocery placements on Uber Eats.

However, Uber’s reported decision to walk away from the discussions means it should not be described as a confirmed active bidder. DoorDash and other potential buyers could still evaluate the opportunity.

Regulatory Hurdles Could Complicate a Deal

Any acquisition by DoorDash or Uber would likely attract scrutiny from antitrust regulators because both companies compete in grocery and food delivery.

A merger could raise concerns about market concentration, competition among delivery platforms and the bargaining power of retailers. Regulators might require concessions or asset sales, potentially making a transaction more difficult to complete.

DoorDash previously held acquisition discussions with Instacart in 2021, when the latter was valued at approximately $39 billion in private markets. Those talks reportedly collapsed partly because of concerns about regulatory approval.

What Happens Next?

For now, Instacart’s potential sale remains exploratory. Investors will be watching for a formal offer, confirmation of negotiations or an announcement from the company.

The reports illustrate the pressure facing delivery platforms as they compete for grocery orders, retailer partnerships and advertising revenue. Whether Instacart ultimately sells itself or continues independently will depend on buyer interest, valuation expectations and regulatory considerations.

Summary

Instacart is exploring a potential sale and has reportedly held preliminary discussions with DoorDash and Uber. Uber has since walked away from its talks, while Instacart continues evaluating its options with help from an investment bank. Reports of a possible takeover pushed Instacart shares up 9.2% on October 23. A potential deal could be valued at $16 billion to $17 billion, but regulatory hurdles and uncertainty remain.
