Tata Capital has submitted a confidential pre-filing application to SEBI for an initial public offering (IPO) valued at over ₹15,000 crore.
Both a new share issuance and an offer for sale (OFS) by current shareholders, including Tata Sons, will be part of the IPO.

Currently, 93% of Tata Capital’s equity is owned by Tata Sons.
The RBI has designated Tata Capital as a “upper-layer” NBFC, meaning it must go public by September 2025.
2.3 crore equity shares could be included in the IPO, which would combine the OFS and new issue components.
The board has already given Tata Capital permission to move forward with the IPO.
This will rank among the biggest IPOs in the Indian financial industry if it is successful.
After the November 2023 IPO of Tata Technologies, this will be the second significant market listing for the Tata Group in recent years.
